Terms of Service

These Terms of Service ("Terms") govern your use of AIPA, operated by Aipa, Inc. ("we," "our," or "us"). Please read these terms carefully before using our service.

1. Acceptance of Terms

By creating an account or using AIPA, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our service.

2. Description of Service

AIPA is a personal AI assistant that provides conversational AI capabilities with persistent memory through a Nexus system. The service includes: • Conversational AI powered by third-party language models • A personal Nexus that learns from your conversations • Data export capabilities • Integration with your own API keys (BYOK plan)

3. Account Registration

To use AIPA, you must: • Be at least 13 years old • Provide accurate and complete registration information • Maintain the security of your account credentials • Notify us immediately of any unauthorized access You are responsible for all activity that occurs under your account.

4. Plans and Pricing

BYOK (Bring Your Own Keys) — $12.99/month ($9.99/month billed annually) Use your own API keys from Anthropic, OpenAI, or other providers. You pay the LLM provider directly for token usage. Managed 2M — $19.99/month ($14.99/month billed annually) 2,000,000 tokens per month included, with a weekly cap of 500,000 tokens. No API keys needed. Free Trial Both plans include a 7-day free trial with full access. A valid credit card is required but will not be charged during the trial period. Prices are subject to change with 30 days notice to existing subscribers.

5. Trial and Subscription Terms

Free Trial: You may start a 7-day free trial of either plan. During the trial, you receive full plan access. When your trial ends, your subscription will automatically continue on the selected plan unless you cancel before the trial expires. Billing: Subscriptions are billed monthly in advance. Your billing cycle begins on the day you subscribe or when your trial ends. Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access until then. Refunds: We do not provide refunds for partial months. If you believe you were charged in error, contact us at support@aipa.io.

6. Acceptable Use

You agree not to use AIPA to: • Violate any applicable laws or regulations • Infringe on the intellectual property rights of others • Generate or distribute harmful, abusive, or illegal content • Attempt to circumvent usage limits or security measures • Interfere with or disrupt the service • Use the service for any form of spam or unsolicited communication • Share your account credentials with others We reserve the right to suspend or terminate accounts that violate these terms.

7. API Keys (BYOK Plan)

If you use the BYOK plan, you are responsible for: • Maintaining the security of your API keys • Complying with the terms of service of your chosen LLM provider • Any charges incurred through your API keys We encrypt your API keys and use them only to make requests on your behalf. We are not responsible for charges you incur with third-party providers.

8. Intellectual Property

Your Content: You retain ownership of the content you create and the Nexus derived from your conversations. By using AIPA, you grant us a limited license to process your content as necessary to provide the service. Our Service: AIPA, including its design, features, and underlying technology, is owned by us and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of our service.

9. Third-Party Services

AIPA relies on third-party services including: • LLM Providers (Anthropic): Your conversations are processed by these providers according to their terms • Stripe: Payment processing User-Connected Integrations: You may connect third-party services (e.g., Spotify, Home Assistant) to AIPA. These connections are initiated by you and governed by the terms of the respective service. We are not responsible for the actions or availability of these services. Your use of AIPA is also subject to the terms and policies of these providers. We are not responsible for the actions or policies of third-party services.

10. Disclaimers

AIPA is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to: • Warranties of merchantability or fitness for a particular purpose • Warranties that the service will be uninterrupted, secure, or error-free • Warranties regarding the accuracy or reliability of AI-generated responses AI responses may be inaccurate, incomplete, or inappropriate. You should not rely on AIPA for medical, legal, financial, or other professional advice.

11. Limitation of Liability

To the maximum extent permitted by law, AIPA and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: • Loss of profits, data, or goodwill • Service interruption or data loss • Costs of substitute services Our total liability for any claims arising from your use of AIPA shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless AIPA and its operators from any claims, damages, or expenses arising from: • Your use of the service • Your violation of these terms • Your violation of any third-party rights

13. Termination

We may suspend or terminate your access to AIPA at any time for: • Violation of these terms • Non-payment of fees • Extended periods of inactivity • Legal or regulatory requirements Upon termination, you may request a copy of your Nexus data within 30 days.

14. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by email or through the service at least 30 days before they take effect. Your continued use of AIPA after changes take effect constitutes acceptance of the updated terms.

15. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms or your use of AIPA shall be resolved in the courts of Delaware.
